Constellia Ltd a company registered in England with company registration number 06401989 that has its registered address at 43 Berkley Square, London W1J 5FJ (“Constellia”)

Background

(A)   WhatImpact Enterprises Ltd was founded by social impact-driven entrepreneurs to match businesses and grant makers who wish to participate in corporate social responsibility (CSR) with charitable or social enterprises that have projects and initiatives that suit the CSR ambitions of those businesses. WhatImpact Enterprises Ltd accomplish this by hosting and maintaining the platform, which uses proprietary software algorithms and artificial intelligence to match parties that are well suited together the “Services”.

(B)   Pursuant to the above Constellia and WhatImpact Enterprises Ltd have entered into an agreement whereby Constellia will engage Suppliers from its own platform for the purpose of informing them of WhatImpact Enterprises Ltd Services and if Supplier(s) are interested, provide assistance with onboarding Supplier(s) onto WhatImpact Enterprises Ltd platform to enable Supplier(s) access to the Services provided.

IT IS NOW AGREED AS FOLLOWS:

By using our site, you confirm that you accept these Terms of Use and that you agree to comply with them. If you do not agree to these terms, you must not use our site.

1. Constellia Obligations

1.1  The Parties acknowledge and agree that pursuant to the Service(s) Constellia’s role will be limited to the following:

a)   informing Suppliers of WhatImpact Enterprises Ltd Services and;

b)  taking payment on behalf of WhatImpact Enterprises Ltd from Suppliers who wish to access the Services provided by WhatImpact Enterprises Ltd.

1.2  If you agree to access the Services provided by WhatImpact Enterprises Ltd you shall provide with the following, as updated from time to time:

1.2.1  You shall provide to Constellia (acting on behalf of WhatImpact Enterprises Ltd) the required details to make payment pursuant to accessing the Services.

1.2.2  You shall provide to WhatImpact Enterprises Ltd the required information as notified through the method prescribed by WhatImpact Enterprises Ltd to enable your access to the Services.

2. The Services

2.1  Constellia does not guarantee the Services will always be available or be uninterrupted.

2.2   You are also responsible for ensuring you are aware of the WhatImpact Enterprises Ltd Terms of Use and other applicable terms and conditions.

2.3   Constellia makes no representations, warranties or guarantees, whether express or implied, that the content within the Services is accurate, complete or up to date.

2.4   Constellia has no control over the contents of any linked sites and resources.

3. Liability for Loss or Damage Suffered by You

3.1  Constellia does not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence and for fraud or fraudulent misrepresentation.

3.2   Your rights and remedies including the limitations and exclusions of liability as a result of the supply of Services to you by WhatImpact Enterprises Ltd shall be set out and governed by the following Terms and Conditions.

3.3   Constellia excludes all implied conditions, warranties, representations or other terms that may apply.

3.4  Constellia will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:

a)  use of, or inability to use, of the Services; or

b)  use of or reliance on any content through the Service

      In particular, Constellia will not be liable for:

c)   loss of profits, sales, business, or revenue;

d)  business interruption;

e)  loss of anticipated savings;

f)   loss of business opportunity, goodwill or reputation; or

g)   any indirect or consequential loss or damage.

4. Law and Disuputes

The Terms of Use are governed by the laws of England and Wales. The Courts of England will be the exclusive jurisdiction for disputes arising out of or in connection with these Terms of Use.
